Introduction
These Terms and Conditions ("Terms") govern the access to and use of the software-as-a-service platform River (the "Platform") and associated services (collectively, the "Services"). The Services are provided by Two Spoon Technologies Private Limited ("Company," "we," "our," or "us"). If you do not agree, you must not access or use the Services.

By creating an account, subscribing to, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Eligibility
  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • You have full legal authority to enter into these Terms.
  • You are not barred from using the Services under applicable laws.
Accounts
Provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. We are not liable for losses resulting from failure to secure your account.
Subscriptions, Fees & Payment

Fees

Subscription and usage fees are payable per plan, order form, or invoice.

Payment Terms

Unless otherwise stated, fees are due in advance, non‑cancellable, and non‑refundable.

Taxes

Fees are exclusive of taxes; you are responsible for applicable taxes.

Late Payments

Overdue amounts may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

Changes

We may change pricing or plans upon reasonable prior notice; continued use after changes constitutes acceptance.

Cancellation & Termination

By You

Cancel your subscription anytime; cancellation stops future renewals. No refunds for prior payments.

By Us

We may suspend or terminate for breach, non‑payment, suspected misuse, or to comply with law.

Effect

Upon termination, rights granted to you cease. We may delete your data after a reasonable retention period unless required by law.

Acceptable Use
  • Do not copy, modify, reverse‑engineer, or create derivative works of the Services.
  • Do not use the Services to build a competing product.
  • Do not interfere with or disrupt the Services or infrastructure.
  • Do not violate laws, regulations, or third‑party rights.
  • Do not upload or transmit harmful code, spam, or unlawful content.
  • We may suspend access if your use threatens the security, stability, or integrity of the Services.
Intellectual Property

Our IP

All rights, title, and interest in the Services, software, and documentation remain with us or our licensors. No rights are granted except as expressly stated.

Your Data

You retain ownership of all data you input ("Customer Data"). You grant us a limited, worldwide, royalty‑free license to process Customer Data solely to provide the Services.

Feedback

Any feedback you provide may be used by us without obligation or restriction.

Confidentiality
Each party agrees to protect the other's confidential information and not disclose it except as required by law or to fulfill obligations under these Terms.
Disclaimer of Warranties
  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
  • We disclaim warranties of merchantability, fitness for a particular purpose, and non‑infringement.
  • We do not warrant availability, error‑free or uninterrupted operation, or accuracy and completeness of outputs.
  • Your use of the Services is at your sole risk.
Limitation of Liability
  • Our aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
  • We are not liable for indirect, incidental, consequential, punitive, exemplary, or special damages (including lost profits, revenue, data, goodwill, or business opportunities).
  • These limitations apply notwithstanding any failure of essential purpose of any limited remedy.
Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your use, breach of Terms, or violation of third‑party rights.
Governing Law & Disputes

Governing Law

These Terms are governed by the laws of India, without regard to conflicts of law principles.

Jurisdiction

Courts located in Bengaluru, Karnataka shall have exclusive jurisdiction.

Dispute Resolution

Parties shall first attempt good‑faith negotiations; if unresolved, disputes are subject to binding arbitration or court jurisdiction as applicable.

Miscellaneous
  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement.
  • Amendments: We may update these Terms by posting a revised version. Continued use constitutes acceptance.
  • Assignment: You may not assign these Terms without our consent; we may assign freely.
  • Force Majeure: We are not liable for delays/failures caused by events beyond reasonable control.
  • Severability: If any provision is held invalid, the remainder remains enforceable.
  • No Waiver: Failure to enforce rights does not constitute a waiver.
